1. About these terms

Milked is a brand of Noir Global LLC, a Florida limited liability company ("Milked", "we", "us"). These Terms govern your use of milked.io and of the services offered under the Milked name. By using the site, sending an inquiry, purchasing a plan or using our software, you agree to these Terms. If you are using Milked for a company or agency, you confirm you are authorised to accept these Terms on its behalf.

2. Our services

• Milked Teams: trained chatters who manage conversations with your fans, on weekly plans for solo creators, teams and agencies.

• Milked Engine: software that helps run fan conversations on Telegram, including AI-drafted replies (Copilot), fully automated replies (Autopilot), voice notes, content offers, fan lists and reporting. The Engine is offered in early access and features may change.

• The website: information about Milked and a form to contact us.

3. Who can use Milked

You must be at least 18 years old and able to enter a binding contract. Our services are for creators, agencies and businesses, not consumers. You must own or be authorised to manage every account, persona and piece of content you connect to Milked.

4. Account access (Milked Teams)

To deliver Milked Teams, you may share login access to your creator accounts. When you do, we agree to:

• Only use your inbox and messaging functions

• Never change your payout, bank or account settings

• Never post content on your behalf unless you ask us to in writing

• Keep credentials encrypted, limit access to the people working on your account, and delete them when the service ends

You agree to give accurate access details and preferences, tell us promptly if your login changes or is compromised, and stay responsible for your accounts and for following each platform's own terms.

5. Your content, likeness and voice

You keep ownership of your content. You give us a limited licence to use it, and the preferences you share, only to provide the services to you.

You confirm that everyone who appears in content you sell through Milked is at least 18 and has given the consents the law and the relevant platforms require.

We will not create an AI likeness or voice of a real person without that person's signed consent. They can withdraw consent at any time; when they do, we stop using the likeness or voice and delete it from our systems and our providers' systems. AI-generated or AI-modified content must be labelled as such wherever sales platforms or the law require it.

6. AI features and disclosure

• Copilot is the default for real creators: AI drafts replies and a person reviews and sends each one.

• Autopilot sends replies automatically. AI personas tell fans they are AI at the start of a conversation and answer truthfully if asked.

• If you turn on Autopilot for a real creator, you confirm the creator has agreed to it in writing, and you are responsible for complying with the laws on automated messaging and AI disclosure that apply where you and your fans are.

• AI output can be wrong or inappropriate. You and your team are responsible for the messages you choose to send.

• We do not use your fans' conversations to train AI models, and we do not share one customer's data with another.

7. Messaging rules

Milked only messages fans who started a conversation with you first. You agree not to use Milked to send spam or unsolicited mass messages, to honour opt-out requests immediately, and to follow the terms of the messaging platforms you use, including Telegram.

8. Prohibited content and conduct

You may not use Milked for anything illegal, harmful or deceptive, including: any content involving minors or anyone who appears to be a minor; content made or shared without the consent of the people in it; impersonating a real person without their consent; harassment, threats or hate; fraud or misleading claims; or trying to break, copy or overload our systems. We may remove content, suspend service or report conduct to the authorities where required.

9. Fees, billing and cancellation

• Milked Teams plans are billed weekly in advance at the price shown at checkout. Agency plans are priced per account as described on the plan.

• Milked Engine pricing is agreed with you in writing during early access.

• Payments are handled by third-party payment providers. We do not store full card details.

• You can cancel at any time. Cancellation takes effect at the end of the period you have already paid for, and you will not be billed again.

• Because work starts as soon as a period begins, fees for a period that has started are non-refundable, except where the law requires otherwise. If something is wrong, contact us and we will work with you to fix it.

• If a payment fails, we may pause the service until it is resolved. Prices do not include taxes, which you are responsible for where applicable.

10. Non-solicitation

Our chatters, trainers and operators are part of the Milked team. During your service and for 12 months after it ends, you agree not to hire, solicit or work directly with any of them outside Milked. Because the harm from this is hard to measure, you agree that each violation will result in termination of service and liquidated damages of $5,000.

11. Confidentiality and data

We keep your preferences, conversations, fan information and results confidential, and we use them only to provide and improve your service. We never sell your data. When you use the Engine, we process your fans' information on your behalf and under your instructions. Our Privacy Policy explains how we handle personal information.

12. Third-party platforms

Milked works with platforms we do not own or control, such as messaging apps, content platforms and payment providers. Their terms apply to your use of them, and we are not responsible for their availability, policies or decisions, including account restrictions.

13. No guaranteed results

We work to improve engagement and sales, but results depend on many things outside our control. We do not promise any specific earnings, conversion or growth.

14. Disclaimers and limitation of liability

The services, and especially early-access features, are provided "as is" and "as available". To the fullest extent the law allows, we disclaim implied warranties, and we are not liable for indirect, incidental or consequential losses, lost profits or lost data. Our total liability for any claim is limited to the amount you paid us in the three months before the claim arose.

15. Indemnity

You agree to cover us against claims, losses and costs arising from your content, your accounts, your instructions to us, or your breach of these Terms or of the law.

16. Suspension and termination

We may suspend or end the service if you breach these Terms, act in bad faith, or put fans, creators, our team or our systems at risk. You may stop using Milked at any time. Sections that by their nature should continue after termination, including fees owed, non-solicitation, confidentiality, liability and indemnity, continue to apply.

17. Changes

We may update these Terms. We will change the date above and, for material changes, tell customers in advance by email or message. Continuing to use Milked after changes take effect means you accept them.

18. Governing law and disputes

If a dispute arises, contact us first and we will try in good faith to resolve it. These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, and any dispute that is not resolved informally will be heard in the state or federal courts located in Florida.
